These Terms & Conditions govern the use of CSPZone services. CSPZone is a platform operated by RAS Corporate Advisors LLC, a UAE-registered corporate services provider. All services, payments, and engagements are legally executed through RAS Corporate Advisors LLC.

By engaging CSPZone, making payment, or using our platform or services, the client agrees to the terms outlined below.

1. Scope of Services

CSPZone provides technology-enabled corporate assistance services, including but not limited to:

  • Company incorporation and licensing support
  • Regulatory approvals coordination
  • Compliance support (UBO, AML, ESR, CT, VAT, renewals, etc.)
  • Documentation preparation and submission
  • Follow-up with free zones, mainland authorities, and regulators
  • AI-assisted preliminary guidance with human oversight

CSPZone acts solely as an appointed agent on behalf of the client for documentation and authority processing. CSPZone is not a government authority and does not issue approvals.

2. Appointment as Authorized Agent

By engaging CSPZone, the client:

  • Appoints RAS Corporate Advisors LLC as their authorized agent to submit documents, applications, declarations, and forms to relevant authorities
  • Authorizes CSPZone to communicate with authorities strictly for service execution

This appointment is limited to the scope defined in the selected package and invoice.

3. Client Responsibilities (Strict)

The client is solely responsible for:

a. Documentation

  • Providing clear, legible, color-scanned documents strictly as per authority guidelines
  • Ensuring all documents are true, valid, and unaltered
  • No forged, manipulated, or misleading documents are permitted

Any forgery, misrepresentation, or false declaration will result in immediate service termination without refund.

b. Compliance Declarations

The client must fully cooperate with:

  • UBO (Ultimate Beneficial Owner) declarations
  • AML / KYC declarations
  • Any additional compliance requests raised by authorities

Failure to comply may lead to rejection, suspension, or penalties imposed by authorities, for which CSPZone bears no responsibility.

c. Timely Renewals

  • License, visa, and compliance renewals must be completed on or before due dates
  • CSPZone may send reminders, but ultimate responsibility remains with the client
  • Late renewals may result in fines, blacklisting, or license suspension

4. Change of Agent / Exit Policy

If the client wishes to:

  • Change their corporate service provider, or
  • Withdraw CSPZone as their appointed agent

They must:

  • Provide minimum 60 days written notice, or
  • Pay an exit fee of AED 5,000

No NOC or release documents will be issued without compliance with this clause.

5. Automatic Renewal of Engagement

  • Unless terminated in writing, this engagement automatically renews on an annual basis
  • Renewal covers ongoing compliance, support, and agency appointment

Fees for renewal services are based on the prevailing package or renewal invoice.

6. Fees, Packages & Service Limits

  • All services are delivered strictly as per the selected package and issued invoice
  • Any additional services (Corporate Tax, VAT, bank account assistance, amendments, etc.) are chargeable separately unless explicitly included
  • CSPZone does not provide services outside the invoice scope

7. No Guarantee of Approval

CSPZone does not guarantee:

  • License approval
  • Visa approval
  • Bank account opening
  • External authority approvals

All decisions rest solely with the respective authorities.

8. Confidentiality & Data Protection

  • Client documents and information are treated as strictly confidential
  • Documents are disclosed only to relevant authorities where required for processing
  • CSPZone does not sell, rent, or share client data with third parties

Where applicable, CSPZone follows internal data protection practices and operates with ISO-aligned internal controls.

9. AML & Risk Control Rights

CSPZone reserves the right to:

  • Suspend or terminate services if AML, compliance, or risk concerns arise
  • Request additional documents or explanations
  • Decline high-risk or non-compliant activities

Such actions do not entitle the client to refunds.

10. Limitation of Liability

RAS Corporate Advisors LLC and CSPZone shall not be liable for:

  • Authority decisions, delays, or rejections
  • Regulatory changes
  • Business losses, indirect damages, or opportunity costs

Liability, if any, is limited strictly to the professional fees actually paid to RAS Corporate Advisors LLC for the specific service.

11. Fraud Disclaimer & Official Communication

Important Security Notice:

  • CSPZone operates only under the domains: www.cspzone.com and www.rca.ae
  • All payments must be made only to RAS Corporate Advisors LLC bank accounts with ADCB or RAK Bank
  • RAS Corporate Advisors LLC is not responsible for fraudulent emails, fake invoices, or impersonation by third parties

Clients are advised to verify all communications and report suspicious activity immediately.

12. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of the United Arab Emirates. All disputes are subject to the exclusive jurisdiction of the courts of Dubai.

13. Acceptance

By proceeding with CSPZone, the client confirms acceptance of these Terms & Conditions and the Refund Policy.
